1. Acceptance of Terms


By engaging with Business Scale Flow (“Company,” “we,” “our,” or “us”), including but not limited to our consulting services, media production, CRM automation, social media management, advertisement optimization, and lead generation services, you (“Client,” “User,” or “You”) agree to these Terms of Service (“Terms”).


These Terms govern all services provided and are legally binding. If you do not agree to these Terms,

do not use our services.


2. Services Provided

Business Scale Flow offers the following services:

Consulting

– Digital marketing, business growth strategies, advertising techniques.

Photo & Video Services

– Professional photography, videography, content creation.

CRM Automation (GoHighLevel)

– Lead management, automated follow-ups, workflow automations.

Social Media Management

– Content creation, engagement strategies, brand positioning.

Advertisement Optimization

– Meta (Facebook & Instagram) ads, Google ads, targeted PPC campaigns.

Lead Generation

– Ad funnels, cold outreach strategies, email & SMS campaigns.


3. Payments & Fees

Service Termination & Cancellations


We reserve the right to terminate services if a Client violates these Terms.

All recurring billing requires prior agreement and debit card authorization.

Cancellation requires written notice at least 14 days before the next billing cycle (email or physical letter).

If charge fails, all services—including campaigns, automation, and content scheduling—will be immediately paused until the payment issue is resolved.

If a Client fails to provide necessary assets, approvals, or timely communication within 30 days, we may suspend services without refund, unless otherwise stated in a signed contract or agreement.

Chargebacks & Unauthorized Disputes


If a chargeback is initiated, we will:

Provide proof of authorization to the payment processor

Suspend or terminate services until the dispute is resolved

Pursue legal action to recover all related fees
All payments made are final and non-reversible.

All processed or processing payments are final and non-reversible. Clients are responsible for ensuring that payments are made intentionally and in accordance with agreed-upon terms.


4. Client Responsibilities


Clients must:

Provide timely access

to all necessary assets, credentials, and approvals required for service completion.

Communicate in a timely manner to avoid delays in project execution. Lack of timely responses may result in delays, additional fees, or rescheduling at our discretion.

Be available for necessary feedback or approvals on work being performed. If a response is delayed beyond a reasonable timeframe, Business Scale Flow may proceed with the best judgment or put the project on hold.

Ensure the accuracy of all provided information

(e.g., brand assets, logins, advertising budgets, and client details).

Failure to communicate in a timely manner does not exempt the client from agreed-upon payments or deadlines.



5. Intellectual Property & Licensing


We retain ownership of all drafted, unapproved, or unpaid content, assets, and strategies. Final deliverables become Client property upon full payment, except for licensed stock materials, which remain the property of their respective owners. Our CRM workflows, ad strategies, and marketing techniques are proprietary. Unauthorized resale or redistribution is prohibited.




6. Service Disclaimer & No Guarantees


Business Scale Flow does not guarantee specific marketing results (e.g., revenue increase, lead conversions, social media growth).Marketing performance depends on external factors beyond our control, including market conditions, ad spend, and competition. You assume full responsibility for the success or failure of using our services.




7. Limitation of Liability & Disclaimer of Damages


To the fullest extent permitted by law,

Business Scale Flow, its owners, partners, employees, contractors, and affiliates shall not be liable for any and all forms of damages, including but not limited to:

Direct, indirect, incidental, punitive, special, or consequential damages arising from the use of our services.Any loss of profits, business interruptions, reputational damage, data loss, or revenue decline resulting from our services.Delays or failures caused by third-party platforms (Facebook, Instagram, Google, GoHighLevel, etc.).Ad account bans, compliance issues, or policy violations due to user actions or third-party enforcement. Security breaches, unauthorized access, or data loss from integrations with third-party platforms.

All services are provided "as is" and "as available," without any express or implied warranties.

Indemnification:

The Client agrees to defend, indemnify, and hold harmless Business Scale Flow, its owners, partners, employees, contractors, and affiliates from and against any claims, damages, liabilities, costs, or expenses (including legal fees) arising out of or related to:


Any violation of these Terms by the Client.


Any misuse or misrepresentation of our services.


Any third-party claims resulting from content, advertising, or strategies provided by Business Scale Flow.


Personal Liability Protection:

The owners, partners, employees, contractors, and affiliates of Business Scale Flow

shall not be personally liable for any claims, disputes, losses, or damages related to the business or its services.



8. Service Termination & Cancellations


We reserve the right to terminate services if a Client violates these Terms.Monthly services require 14-day written notice for cancellations before the next billing cycle.If a Client fails to provide necessary assets, approvals, or timely communication within 30 days, we may suspend services without refund.




9. Confidentiality & Non-Disclosure


We will not disclose Client data, business strategies, or marketing tactics to third parties without written consent.Clients must not share proprietary information, marketing workflows, or CRM configurations without our approval.




10. Governing Law & Dispute Resolution


These Terms are governed by the laws of the State of New York, USA. Any disputes must go through mediation or arbitration before legal action.
